1. Acceptance of Terms

By using our services, you agree to be bound by these Terms, our Privacy Policy, and any additional guidelines provided. If you do not agree, you may not use our services.

2. Services Provided

Wheeler Advertising provides integrated marketing services, including digital advertising, creative design, media placement, data analytics, and communications campaigns. Specific deliverables and scope of work may be outlined in signed agreements with clients.

3. Eligibility

You must be at least 18 years old (or the age of majority in your jurisdiction) to use our services. By using our services, you represent that you have the authority to enter into this agreement.

4. A2P Messaging Compliance (SMS/MMS)

If you use our services to send text messages (SMS/MMS), you agree to comply with all applicable laws and carrier rules, including A2P 10DLC regulations in the United States.

Requirements include:

Opt-In: All recipients must explicitly consent (opt-in) to receive messages from you. Consent must be documented and obtained through pre-checked boxes or implicit agreement.

Opt-Out: Each message must include clear opt-out instructions. Standard language: “Reply STOP to unsubscribe.” Opt-out requests must be honored immediately.

Help Instructions: Each campaign must support a “HELP” reply that provides the recipient with customer support contact information. Example: “Reply HELP for help or contact us.

Message Identification: All messages must clearly identify your business or brand name.

Prohibited Content: You may not use messaging for illegal, abusive, fraudulent, or misleading content, including but not limited to SHAFT content (sex, hate, alcohol, firearms, tobacco) unless explicitly approved and compliant with applicable laws.

Wheeler Advertising reserves the right to suspend or terminate messaging services for violations of A2P compliance rules.

5. User Responsibilities

You agree not to:

Use our services for unlawful purposes.

Misrepresent your identity or affiliation.

Upload or transmit malicious code.

Interfere with or disrupt service functionality.

6. Fees & Payments

Services may be billed according to written agreements. Unless otherwise stated, all invoices are due upon receipt. Late payments may incur fees.

7. Intellectual Property

All content, creative assets, and technology provided by Wheeler Advertising remain the property of the company unless otherwise agreed in writing. Client-provided trademarks, logos, and data remain the property of the client.

8. Disclaimers & Limitation of Liability

Services are provided “as-is” without warranty of uninterrupted performance. Wheeler Advertising is not liable for indirect, incidental, or consequential damages arising from use of our services.

9. Termination

We may suspend or terminate access to services if you violate these Terms or applicable laws.

10. Governing Law

These Terms are governed by the laws of the State of Texas. Any disputes shall be resolved in the courts located in Tarrant County, Texas.

11. Changes to Terms

We may update these Terms at any time. Updates will be posted on our website, and continued use of services constitutes acceptance of the revised Terms.
